Terms & conditions.
Last updated September 15, 2026. The short version: we sell to businesses, we sell different catalogs to different kinds of buyers, brands decide which accounts may carry their products, you pay upfront unless we have approved you for terms, and we make damaged or defective goods right.
1. Who these terms cover
These terms govern the sale of goods by Prestige Brands LLC, 145 Union St. Unit O, Holbrook, MA 02343, to any buyer who places an order with us. They apply to every quote, purchase order, invoice and shipment unless we have signed a separate written agreement with you that says otherwise. Placing an order means you accept them.
Using this website is covered too. The site is here to explain what we do. It is not a shop, and nothing on it is an offer to sell at a stated price.
2. We sell to businesses only
Wholesale accounts are opened by introduction, normally through one of our representatives, and are limited to vetted contractor, trade and government buyers. They are open to legitimate operating businesses. To be approved you need a real trading name, a real business address, an EIN, and a valid resale certificate for the state you are shipping to. We verify what you give us. We may ask for trade references, a website, photographs of your premises, or anything else reasonable before we open an account.
We decline applications, and we close accounts, at our discretion. Common reasons are unverifiable details, a resale certificate that does not check out, an overdue balance on another account, or conduct that damages a brand we carry. We are not obliged to give a reason.
Nothing here creates an exclusive territory, a distributorship, a franchise, an agency or a partnership. You buy from us as an independent business.
3. Catalog access depends on how you sell
We do not show the same catalog to every account. What you can buy depends on the channel you operate in, and the approval you hold reflects that.
- E-commerce accounts are restricted to our e-commerce catalog. If you resell online, whether on your own website, a marketplace, a live selling channel or a social storefront, you may buy only the items in that catalog. Items outside it are not available to you at any volume, and buying them through another account or a third party to get around this restriction is a breach of these terms.
- Brick and mortar accounts buy the retail catalog for sale in the physical locations declared on the account. Adding a location means telling us about it.
- Contractor and local business accounts buy the operating supply catalog for consumption in the course of their own business rather than for resale.
Accounts that sell in more than one channel are approved for each one separately. We will tell you what you have access to when the account opens, and we will tell you if it changes.
Brand approval comes first. We supply a brand's products only to accounts that brand has approved. Approval is the brand's decision and the brand can withdraw it, so a line may be unavailable to you even when your account is open and the item is in stock. Buying a line you are not approved for through another account or a third party is a breach of these terms.
4. Orders, pricing and availability
Prices are quoted per order and hold for the period stated on the quote. Where no period is stated, thirty days. Prices exclude freight and tax unless the quote says otherwise.
An order is a request to buy. It becomes a contract when we accept it in writing or ship it, whichever happens first. We can decline any order, and we can allocate stock across accounts when supply is short. Availability shown or quoted is our best information at that moment, not a guarantee.
Obvious errors in a price, a quantity or a specification do not bind us, even after acceptance. If we find one we will tell you promptly and you can confirm the corrected order or cancel it.
Minimum order values, case pack quantities and pallet quantities apply where stated. We do not break case packs.
5. Payment terms
Two options.
- Payment in advance. The default for every new account. Goods are released and scheduled once cleared funds are received.
- Net 30. Available only to accounts that have submitted a credit application and been approved for terms in writing. Approval is for a stated credit limit, it applies from the invoice date, and it can be reduced or withdrawn at any time.
Invoices past due carry interest at 1.5% per month, or the maximum the law allows if that is lower. Where we have to pursue a debt, you are responsible for the reasonable costs of collection, including legal fees. We may hold shipments on any account while a balance is overdue on that account or on a related one.
You cannot set off a disputed amount against an unrelated invoice. Raise the dispute, pay the rest, and we will resolve the difference.
Title to goods passes to you on payment in full. Risk of loss passes on delivery to the carrier.
6. Tax and resale certificates
You are responsible for giving us a valid, current resale or exemption certificate for the ship-to state before we invoice you without sales tax. Until we hold one, tax is charged. If a certificate you gave us turns out to be invalid or expired, you are responsible for the tax, interest and penalties that result.
7. Freight and receiving
Shipping terms are stated on the quote or the order acknowledgement. Delivery dates are estimates. We are not liable for a carrier's delay.
You are responsible for telling us accurately whether your address can receive freight, whether you have a dock or need a liftgate, whether an appointment is required, and what the largest vehicle you can take is. Reconsignment fees, redelivery fees, detention and storage caused by inaccurate receiving information are charged back to you.
Inspect on arrival. Shortages, visible damage or a wrong shipment must be noted on the delivery receipt before the driver leaves and reported to us within five business days, with photographs. Concealed damage must be reported within five business days of delivery. Claims made outside those windows are difficult to win with a carrier, and we cannot pursue them for you.
8. Returns
We do not accept returns. Orders are not returnable for change of mind, over-ordering, slow sell-through, seasonal leftovers or any other commercial reason.
The exception is goods that arrive damaged or that are defective. Report those as set out above and we will replace the item, issue a credit, or refund it, at our option. Damaged and defective claims need the order number, the quantity affected and photographs. We may ask you to hold the goods and the packaging for inspection, or to return them under an authorization number we issue.
Nothing in this section limits any manufacturer warranty that comes with the product, or any right you have under law that cannot be excluded.
9. Reseller conduct
Buying from us does not give you a license to use a brand's name, marks or images beyond what is necessary to resell the goods you bought. Do not alter, repackage, relabel or remove identifying marks from product. Do not represent yourself as an authorized dealer, agent or distributor of a brand unless that brand has appointed you.
Where a brand has a minimum advertised price policy, observing it on every channel you sell through is a condition of buying that brand from us. We may stop supplying an account that does not.
10. Warranty and liability
Goods are sold as supplied by the manufacturer, with whatever manufacturer warranty applies. Beyond that, and beyond the damaged and defective handling in section 8, we make no warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.
Our total liability arising out of any order is limited to the amount you paid for the goods in question. We are not liable for indirect, incidental, special or consequential loss, including lost profit, lost sales or business interruption. Nothing here excludes liability that cannot lawfully be excluded.
11. Website content
The text, design, logos and images on this site belong to Prestige Brands LLC or to the brands they represent. You may not copy or reuse them commercially without written permission. Brand and product names on the site belong to their owners and appear here to describe goods we sell.
We keep the site accurate but do not promise it is complete or current at every moment. Links to other sites are provided for convenience and we are not responsible for what they contain.
12. Confidentiality
Pricing, catalogs, credit terms and any brand or supplier information we share with you are confidential. They are for running your account, not for circulating to third parties.
13. Governing law
These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Any dispute goes to the state or federal courts sitting in Norfolk County, Massachusetts, and both sides submit to their jurisdiction.
14. Changes
We may update these terms. The version in force for your order is the one published on the date we accept the order, so check the date at the top. Material changes will be obvious rather than buried.

Accounts, orders and terms:

These terms are written to be read and understood rather than to be exhaustive, and they are not legal advice. Before you rely on them, have counsel review them against how you actually trade, particularly the credit, freight and limitation of liability sections.
